You will have to buy a separate cPanel license for your dedicated server. A VPS license cannot be used for a dedicated server because the cPanel charges you license fee depending on the type of your server and usage. Your dedicated server will need one full license that will include regular WHM full license set on your base IP. This one license covers all the accounts set up on that dedicated server. Using this, you can set up unlimited client accounts with their own client cPanel all under the one license.

On the other hand, the VPS licenses will only work on the servers with VPS, Xen VMware software installed. You can create as many partitions and sell them to client but each time you do, you need to buy more VPS licenses your server, one VPS license to cover each one of the account.
